1. Agreement to Terms
By accessing or using the Roof Recruit website (the "Site") or engaging us to provide services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site or our services. Roof Recruit, LLC is a Virginia limited liability company.
2. Services
Roof Recruit provides sourcing, screening, and pre-field training of canvasser candidates for roofing companies and related contractors (the "Services"). The Services are recruiting and training activities. The Services are not a staffing, leasing, or employment arrangement. Specific deliverables, scope, fees, and timing for any client engagement are defined in a written Work Order, quote, statement of work, or engagement agreement signed by you (the "Client") and us.
3. Engagement Agreements & Work Orders
For paid Services, we issue a written Work Order, quote, or engagement agreement (an "Engagement Agreement") that sets out scope, deliverables, fees, and timing. In the event of any conflict between these Terms and a signed Engagement Agreement, the signed Engagement Agreement controls only as to the specific provisions in conflict; all other provisions of these Terms remain in full force.
4. Fees & Payment
Fees for Services are set in your Engagement Agreement and typically include some combination of a monthly recruiting services fee and a per-candidate placement fee. Unless otherwise stated:
- Monthly recruiting services fees are due upon receipt of the initial quote and recur on each monthly anniversary until cancelled in accordance with the Engagement Agreement. Monthly fees are non-refundable once a billing period has commenced and are payable regardless of how many candidates are sourced, screened, presented, hired, or trained during that period.
- Placement fees accrue when a candidate sourced, screened, introduced, or trained by Roof Recruit is hired, engaged, retained, compensated, or otherwise placed with Client (or any of Client's affiliates, parents, subsidiaries, sister entities, contractors, sales crews, campaigns, or related parties — collectively, "Client's Network") and remains engaged for the vesting period specified in the applicable Engagement Agreement (typically thirty (30) calendar days from start date).
- Late payments accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, and we may suspend Services on any past-due account.
- Pricing shown on the Site is a starting floor; the final price for your engagement is quoted in writing before any work begins. Promotional or introductory rates apply only for the window stated in the Engagement Agreement and revert to standard rates after expiration unless renewed in writing.
5. Roles of the Parties; No Employment Relationship
Roof Recruit is not the employer of any candidate. Roof Recruit is not a staffing agency, leasing agency, professional employer organization, co-employer, or joint employer of any candidate, applicant, or placed canvasser. Roof Recruit does not control the means or manner of any candidate's work and does not direct, supervise, schedule, discipline, or terminate canvassers in the field.
Client is the hiring authority and the employer. Client has sole and exclusive authority to decide whether to interview, hire, engage, retain, or terminate any candidate. Once a candidate is hired or engaged by Client (or Client's Network), Client is solely responsible for all employment obligations, including but not limited to: payroll, wage and hour compliance, tax withholding and remittance, classification (W-2 or 1099), workers' compensation, unemployment insurance, benefits, training beyond the pre-field sessions Roof Recruit delivers, supervision, scheduling, performance management, discipline, termination, and compliance with all federal, state, and local employment laws.
Independent recommendations. Any rating, recommendation, screening note, or commentary provided by Roof Recruit about a candidate is an opinion intended to assist Client's evaluation. It is not a guarantee, certification, or endorsement of the candidate's character, skills, honesty, sobriety, reliability, criminal history, driving record, or fitness for any role.
6. Candidate Information & Privacy
Candidate information shared with Client (resumes, screening notes, interview availability, contact details) is provided to assist Client's hiring decision. Client agrees to use that information solely for evaluating and engaging the candidate, to handle it in compliance with applicable privacy and employment laws, and not to disclose it to third parties outside Client's Network without a legitimate business reason. Candidate information is provided as supplied by the candidate; Roof Recruit does not independently verify it (see Section 9). Roof Recruit's collection and handling of candidate and Client information is further described in our Privacy Policy.
7. Non-Circumvention & Re-Hire Window
If Client or Client's Network hires, engages, retains, compensates, or otherwise places any candidate introduced by Roof Recruit within twelve (12) months following Roof Recruit's introduction of that candidate to Client — whether through Roof Recruit's normal process, directly by the candidate, through a third party, through a referral, or through any other channel — the placement fee specified in the applicable Engagement Agreement remains owed, subject to the vesting condition stated there. This obligation survives termination of any Engagement Agreement.
Client further agrees not to (a) deliberately delay an offer or start date in order to position a hire outside the placement-fee vesting period, (b) route a hire through an affiliate, contractor, or related entity in order to avoid the placement fee, or (c) re-engage a candidate immediately after a sham separation. Roof Recruit reserves the right to invoice the placement fee in any of those situations.
8. Equal Employment Opportunity; Client Hiring Decisions
Client is solely responsible for ensuring that all hiring decisions comply with applicable federal, state, and local equal employment opportunity, anti-discrimination, ban-the-box, fair-chance, pay-transparency, immigration (including I-9 / E-Verify), and other employment laws. Roof Recruit does not make hiring decisions on Client's behalf. Client agrees that any decision to interview, hire, decline, or terminate a candidate is Client's own decision, made on lawful grounds, and that Roof Recruit will not be held liable for Client's hiring decisions or for any claim arising from them.
9. No Background Checks or Verification Services
Roof Recruit's screening is based on candidate self-report. Roof Recruit does not perform background checks, criminal record searches, sex-offender registry searches, drug screening, motor vehicle record (MVR) checks, credit checks, reference checks beyond what a candidate self-supplies, employment-history verification, education verification, professional-license verification, I-9 / E-Verify processing, or any "consumer report" or "investigative consumer report" under the Fair Credit Reporting Act. Client is solely responsible for performing — or for engaging a qualified third-party consumer reporting agency to perform — any such checks Client deems appropriate before hiring or placing any candidate in the field, in a vehicle, or on a homeowner's property.
10. Intellectual Property
Subject to full payment of all fees due under the relevant Engagement Agreement, Client owns the candidate-specific deliverables produced for Client's engagement (resumes presented to Client, written screening notes, and the recorded outcomes of pre-field training sessions for Client's hires). Roof Recruit retains ownership of:
- Pre-existing training curricula, scripts, decks, recordings, screening rubrics, candidate intake forms, sourcing channels, recruiter playbooks, software, prompt templates, internal processes, and know-how used to provide the Services. Client receives a non-exclusive, non-transferable, royalty-free license to use these solely as embedded in or delivered with the candidate-specific deliverables, for Client's internal business purposes.
- Aggregate, anonymized data and learnings derived from work across clients and candidates, used only to improve our recruiting and training methodology.
- The right to display non-confidential portions of our work (e.g., training session formats, anonymized case studies, anonymized metrics) in our portfolio and marketing materials, unless your Engagement Agreement explicitly opts out.
Third-party software, fonts, stock media, job-board postings, and similar assets remain subject to their respective licenses and terms.
11. Third-Party Services
Our Services rely on third-party platforms (e.g., job boards, applicant-tracking tools, video conferencing, scheduling, email, payment processors, AI providers). Your use of those platforms is governed by their own terms. We are not responsible for outages, posting policy changes, fee changes, or actions taken by third-party providers, including the removal or rejection of job postings.
12. Disclaimer of Warranties
ROOF RECRUIT WARRANTIES THE DELIVERABLES (THE ACTIVITIES) DEFINED IN AN ENGAGEMENT AGREEMENT — AND NOTHING ELSE. THE SITE AND THE SERVICES ARE OTHERWISE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
Without limiting the foregoing, Roof Recruit does not warrant, guarantee, or represent: (a) that any candidate will accept an offer, show up to interview, show up to training, show up to the field, or remain engaged for any period of time; (b) any particular productivity outcome, including doors knocked, leads generated, appointments set, contracts signed, revenue produced, or homeowner conversion rate; (c) the truthfulness, accuracy, or completeness of any information self-reported by a candidate; (d) the conduct, honesty, sobriety, professionalism, criminal history, driving record, or fitness of any candidate in the field, in a vehicle, or on a homeowner's property; or (e) that the Services will be uninterrupted, error-free, or free of harmful components. Outcomes from canvassing, lead generation, and sales depend on factors outside our exclusive control.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ROOF RECRUIT, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR USE, OR FOR ANY DAMAGES ARISING FROM THE ACTS, OMISSIONS, OR CONDUCT OF ANY CANDIDATE OR PLACED CANVASSER (INCLUDING WITHOUT LIMITATION INJURIES TO PERSONS, DAMAGE TO PROPERTY, MISREPRESENTATIONS TO HOMEOWNERS, OR REGULATORY VIOLATIONS), ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total aggregate liability arising out of or relating to these Terms or the Services will not exceed the fees Client paid to Roof Recruit for the relevant Services in the three (3) months preceding the event giving rise to the claim.
14. Indemnification
Client agrees to defend, indemnify, and hold harmless Roof Recruit, LLC, our officers, employees, contractors, and agents from and against any claims, damages, losses, fines, penalties, or expenses (including reasonable attorneys' fees) arising from or related to: (a) Client's hiring, engagement, supervision, payment, classification, discipline, or termination of any candidate or canvasser; (b) any act, omission, injury, property damage, misrepresentation, or regulatory violation by a candidate or canvasser, whether occurring during recruiting, training, in transit, on a homeowner's property, or otherwise; (c) Client's use of candidate information; (d) Client's failure to perform background, MVR, drug, or other checks Roof Recruit does not provide; (e) Client's use of the Site or Services; or (f) Client's breach of these Terms.
15. Termination
Either party may terminate an active Engagement Agreement under the notice provisions stated in that agreement. Upon termination, Client remains responsible for: (a) fees owed for work performed through the effective date of termination, (b) any placement fee accrued or in vesting at the time of termination, and (c) the non-circumvention obligations in Section 7, which survive termination for twelve (12) months. The sections of these Terms that by their nature should survive (including Sections 5, 7, 8, 10, 12, 13, 14, and 16) will survive termination.
16. Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Virginia, and you consent to the personal jurisdiction of those courts.
17. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent change. Material changes that affect existing Engagement Agreements will not apply retroactively unless agreed in writing.
